Vendor Terms and conditions ( Rokyro)

Rokyro Marketplace

1. Introduction

These Seller Terms & Conditions govern the contractual relationship between Kirocorp SRL, as the operator of the Rokyro platform, and any Seller who registers and sells products through the Rokyro marketplace.

By creating a seller account and listing products, the Seller fully accepts these Terms & Conditions.

2. Definitions

  • Rokyro – online marketplace operated by Kirocorp SRL

  • Platform Operator – Kirocorp SRL

  • Seller / Vendor – a legal entity offering products for sale

  • Customer – a natural or legal person placing an order

  • Marketplace – the technical infrastructure facilitating product listings, payments, and order management

3. Seller Eligibility

Only legal entities (companies) are allowed to register as Sellers on the Rokyro platform.

Sellers must provide accurate, complete, and up-to-date information regarding:

  • company identification details;

  • legal right to sell the listed products;

  • compliance with all applicable laws and regulations.

Rokyro reserves the right to review, approve, suspend, or reject any Seller account at its sole discretion.

4. Role of Rokyro in the Marketplace

Rokyro:

  • provides the technical marketplace infrastructure;

  • processes customer payments on behalf of Sellers;

  • facilitates communication between Customers and Sellers.

Rokyro is not a party to the sales contract between the Seller and the Customer for third-party products.

5. Seller Obligations

The Seller is fully and exclusively responsible for:

  • the legality of the products sold;

  • product conformity with the information displayed on the platform;

  • product quality and safety;

  • compliance with consumer protection laws;

  • warranty, returns, and after-sales services.

6. Warranty and Returns

The Seller is responsible for:

  • providing the legal warranty of conformity in accordance with applicable legislation;

  • respecting the Customer’s right of withdrawal and return.

Rokyro may facilitate the process, but the legal responsibility remains with the Seller.

7. Payments, Fees, and Settlements

  • Rokyro processes customer payments on behalf of Sellers;

  • amounts owed to Sellers are transferred according to the settlement policy;

  • Rokyro retains applicable commissions and service fees.

Commission structures may be updated with prior notice.

8. Account Suspension and Termination

Rokyro may suspend or terminate a Seller account in case of:

  • legal violations;

  • repeated customer complaints;

  • false or misleading information;

  • breach of these Terms & Conditions.

Existing legal obligations remain valid after termination.

9. INTERNATIONAL SELLERS

Sellers established outside Romania but within the European Union

9.1 Legal Compliance

International Sellers must comply with:

  • EU consumer protection legislation;

  • applicable product compliance requirements (CE, RoHS, REACH, etc.);

  • regulations applicable to electrical, electronic, food, or other regulated products.

9.2 VAT and Tax Obligations

Each Seller is:

  • solely responsible for VAT registration, declaration, and payment;

  • responsible for compliance with OSS / IOSS regimes, where applicable.

Rokyro does not assume responsibility for Sellers’ tax obligations.

9.3 International Payments

Settlements to international Sellers are made:

  • via approved payment methods;

  • in the agreed currency;

  • with any international banking fees borne by the Seller.

9.4 Language and Documentation

International Sellers must ensure:

  • product descriptions are available in English;

  • legal and compliance documentation is provided upon request.

10. Liability and Indemnification

The Seller bears full responsibility for any damages caused to Customers or third parties.

The Seller agrees to indemnify and hold Rokyro harmless from any claims, losses, or damages arising from legal breaches or non-compliance with these Terms.

11. Governing Law

These Terms & Conditions are governed by:

  • Romanian law;

  • applicable European Union regulations and directives.

Any disputes shall be settled by the competent courts of Romania.
